We provide corporate and commercial advice on all aspects of running and growing businesses in Ghana. We advise on corporate transactions including business formation, business agreements, corporate governance, investments, mergers & acquisitions, re-organisations, shareholder agreements, joint ventures, licensing arrangements, regulatory compliance and listing on the stock markets in Ghana (GSE and the GAX).
We also advise on complex commercial and contractual arrangements including standard terms and conditions, tailor-made agreements with customers and suppliers, agency, distribution, services, licensing and consultancy agreements.
Our recent work include:
- Drafting commercial agreements for a property developer of 209 apartment complex in East Legon, Accra.
- Advising an English multi-national on a joint venture in the upstream petroleum industry of Ghana and drafting all the relevant agreements including the joint venture agreement and ensuring compliance with the local content and other regulatory requirements of the Petroleum Commission and the GIPC.
- Advising an international investor on the acquisition of significant equity in a target specialised deposit taking entity; conducting comprehensive due diligence on the target specialised deposit taking entity and advising on compliance with the Bank of Ghana’s regulatory requirements.
- Advising minority shareholders of a leading insurance company of their rights regarding events of gross oppressive conduct by the majority shareholders.
